These terms apply to all visitors, users, clients, and any other parties who access or use our services. We reserve the right to modify these terms at any time, and changes will be effective immediately upon posting on this page.

Grothify provides a comprehensive range of digital marketing services, including but not limited to:

The specific scope, deliverables, and timeline for each project will be outlined in a separate service agreement or proposal provided to the client prior to commencement of work.

As a client of Grothify, you agree to the following obligations:

• Accurate Information: Provide accurate, complete, and up-to-date information necessary for service delivery.
• Timely Feedback: Respond to requests for approvals, feedback, and information in a timely manner. Delays in feedback may impact project timelines.
• Access Credentials: Provide necessary access to advertising accounts, analytics platforms, website CMS, and other relevant tools required for service execution.
• Content Approval: Review and approve all content, advertisements, and campaign materials before they go live.
• Legal Compliance: Ensure all products, services, and content you ask us to promote comply with applicable laws and advertising regulations.
• Budget Adherence: Maintain sufficient funds in advertising accounts and honour agreed-upon budgets and payment terms.

The following payment terms apply to all Grothify services:

• Grothify IP: All proprietary tools, methodologies, frameworks, templates, and processes developed by Grothify are and shall remain the exclusive property of Grothify.
• Client IP: All pre-existing intellectual property belonging to the client remains the property of the client.
• Deliverables: Upon full payment, the client receives a license to use the deliverables for the intended purpose as outlined in the service agreement.
• Portfolio Usage: Grothify reserves the right to showcase completed projects in its portfolio, case studies, and marketing materials unless a non-disclosure agreement is in place.
• Third-Party Assets: Any third-party assets (stock images, fonts, plugins) used in deliverables are subject to their respective licensing terms.

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of the engagement.

• Definition: Confidential information includes business strategies, financial data, advertising performance metrics, customer data, trade secrets, and any information marked as confidential.
• Obligations: Both parties agree not to disclose, share, or use confidential information for any purpose other than fulfilling the service agreement.
• Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
• Duration: Confidentiality obligations survive the termination of the service agreement for a period of two (2) years.

• No Guarantees: Grothify does not guarantee specific results, rankings, traffic volumes, conversion rates, or revenue outcomes from marketing campaigns.
• Best Efforts: We commit to providing industry-standard, best-practice services based on our professional expertise and experience.
• Liability Cap: Grothify's total liability shall not exceed the total fees paid by the client for the specific service in question during the preceding three (3) months.
• Exclusions: Grothify shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
• Force Majeure: Neither party shall be liable for delays or failures caused by events beyond their reasonable control, including natural disasters, pandemics, government actions, or platform outages.

Either party may terminate the service agreement under the following conditions:

Upon termination:

• All outstanding invoices become immediately due and payable.
• Client access credentials and data will be returned or securely deleted.
• Grothify will provide a final report of all campaign performance and activities.
• Any ongoing advertising campaigns will be paused and transitioned to the client.

Our services are provided on an "as is" and "as available" basis. While we strive for excellence, we make the following disclaimers:

• Website: We do not warrant that our website will be uninterrupted, error-free, or free from viruses or other harmful components.
• Results: We do not warrant or guarantee any specific marketing outcomes, as results depend on multiple variables beyond our control.
• Third Parties: We are not responsible for the actions, policies, or performance of third-party platforms (Google, Meta, LinkedIn, etc.).
• Content Accuracy: While we strive to provide accurate information, we do not warrant the completeness or accuracy of content on our website.

You agree to indemnify, defend, and hold harmless Grothify, its directors, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

• Your breach of these Terms and Conditions.
• Your use of our services in violation of applicable laws or regulations.
• Any content, materials, or information you provide that infringes on third-party intellectual property rights.
• Any claims by third parties arising from the products or services you asked us to promote.

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in India.

In the event of any dispute, the parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue legal remedies through the appropriate courts.
